These Terms and Conditions govern the use of the website www.barberbrandseurope.com (the “Website”) and all offers, orders and agreements between Barber Brands Europe and its business customers.

Barber Brands Europe is located at Lelystraat 25A, 3364 AH Sliedrecht, The Netherlands, and registered with the Dutch Chamber of Commerce under number 94205434.
VAT identification number: NL866678888B01.

By placing an order with Barber Brands Europe, the customer agrees to these Terms and Conditions.

Applicability

These Terms and Conditions apply to all offers, quotations, orders and agreements between Barber Brands Europe and the customer.

Any terms and conditions used by the customer are expressly rejected unless explicitly agreed otherwise in writing by Barber Brands Europe.

These Terms and Conditions apply exclusively to business customers acting in the course of a profession or business.

Barber Brands Europe reserves the right to modify these Terms and Conditions at any time. The most recent version will always be available on the Website.

Offers and Orders

All offers and quotations provided by Barber Brands Europe are non-binding, unless explicitly stated otherwise.

Product descriptions, images, catalogues, price lists and other marketing materials are provided for informational purposes only and do not constitute a binding offer.

An agreement is concluded when:

  • the customer places an order through the Website, and
  • Barber Brands Europe confirms the order by email or otherwise accepts the order.

Barber Brands Europe reserves the right to refuse or cancel orders at its discretion.

Prices

All prices are exclusive of VAT and shipping costs, unless stated otherwise.

Prices are based on the cost factors known at the time of the offer or order.

Barber Brands Europe reserves the right to adjust prices if cost factors change, including but not limited to:

  • raw material prices
  • labour costs
  • taxes or duties
  • currency fluctuations
  • transportation costs

Obvious pricing errors or typographical errors do not bind Barber Brands Europe.

Payment

Unless agreed otherwise in writing, invoices must be paid within the payment term stated on the invoice.

Barber Brands Europe reserves the right to require advance payment or partial payment for new customers.

In the event of late payment:

  • the customer is in default without further notice
  • Barber Brands Europe may suspend deliveries or cancel orders
  • all outstanding invoices become immediately due

Payments made by the customer will first be applied to outstanding costs and interest, and subsequently to the oldest unpaid invoices.

The customer is not entitled to offset any payments owed to Barber Brands Europe.

Delivery

Delivery takes place at the address provided by the customer during the order process.

Delivery times are estimates only and cannot be considered strict deadlines.

Barber Brands Europe will make reasonable efforts to meet delivery times but cannot be held liable for delays caused by circumstances beyond its control.

The customer must ensure that delivery can take place under normal conditions during regular business hours.

If delivery cannot be completed due to the customer's actions or failure to cooperate, Barber Brands Europe may charge additional transport and storage costs.

Transfer of Risk

The risk of loss or damage to the products transfers to the customer at the moment the products are delivered to the customer or to a third party designated by the customer.

Retention of Title

All products delivered by Barber Brands Europe remain the property of Barber Brands Europe until the customer has fully fulfilled all payment obligations.

Until ownership has transferred, the customer may not:

  • pledge the products
  • transfer ownership as security
  • modify or resell the products outside normal business operations

If the customer fails to meet its obligations, Barber Brands Europe is entitled to reclaim the delivered products.

Complaints

The customer must inspect the delivered products immediately upon delivery.

Visible defects must be reported in writing within five business days after delivery.

Hidden defects must be reported as soon as they are discovered, but no later than two months after delivery.

Products may only be returned with the prior written approval of Barber Brands Europe and must be returned in the original packaging unless otherwise agreed.

If a complaint is justified, Barber Brands Europe may, at its discretion:

  • replace the product
  • repair the product
  • grant a price reduction

Complaints regarding invoices must be submitted within five business days after the invoice date.

Liability

Barber Brands Europe shall only be liable for direct damages resulting from proven failure to fulfill contractual obligations.

Direct damages are limited to reasonable costs necessary to repair or remedy the issue.

Barber Brands Europe shall never be liable for indirect damages, including but not limited to:

  • loss of profits
  • loss of business opportunities
  • loss of savings
  • operational interruption

This limitation does not apply in cases of intent or gross negligence by Barber Brands Europe.

Indemnification

The customer indemnifies Barber Brands Europe against any claims from third parties arising from the customer's use of the products or services provided by Barber Brands Europe.

The customer is responsible for obtaining adequate insurance coverage where necessary.

Force Majeure

Barber Brands Europe shall not be liable for failure to perform its obligations if such failure is caused by circumstances beyond its reasonable control, including but not limited to:

  • strikes
  • transport disruptions
  • government measures
  • fire or natural disasters
  • extreme weather conditions
  • supplier failures

If a force majeure situation lasts longer than one month, either party may terminate the agreement.

Intellectual Property

All intellectual property rights relating to the Website, products, designs, trademarks, images and other materials remain the property of Barber Brands Europe or its licensors.

The customer may not reproduce, distribute or use these materials without prior written permission from Barber Brands Europe.

Privacy

Barber Brands Europe processes personal data in accordance with applicable privacy legislation, including the General Data Protection Regulation (GDPR).

Governing Law

All agreements between Barber Brands Europe and the customer are governed exclusively by the laws of The Netherlands.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) is explicitly excluded.

Jurisdiction

Any disputes arising from or related to agreements with Barber Brands Europe shall be submitted exclusively to the competent court in the district where Barber Brands Europe is located, unless mandatory law provides otherwise.
